The group operates in two business areas, namely, the manufacturing and sale of built-in home appliances and stainless-steel home products which is headquartered in Spain, and the stainless steel containers and container solutions which is headquartered in Switzerland.

It is currently seeking to hire a Senior Corporate Counsel for its international legal group, to be based in Madrid.

This position is located in Madrid, and is part of the group’s international legal function. The Senior Corporate Counsel will report to the Group Chief Legal & Compliance Officer based in Switzerland. He/she will therefore belong to the international legal team, supporting all business activities, to help them achieve their business objectives, with a strong focus on the built-in home appliances and stainless-steel home products business, which is headquartered in Madrid.
The candidate will thus be responsible to find client-focused and innovative legal solutions as required by the group’s challenging environment resulting from its recent integrative transformation, being a true business partner. The position will be in direct contact and will engage with the businesses on all levels, including senior executives and mid-level management, to provide the best legal advice in relation to each a range of varied matters.
The counsel will assist in relation to the following legal areas:
- Drafting and negotiating international and national commercial contracts, joint venture and collaboration agreements with third parties for the supply of products and provision of innovative services to clients.
- Advising the commercial and marketing teams to help them achieve an optimal distribution and supply system, and being involved in all the stages of the value chain of the business.
- Providing comprehensive legal advice to the manufacturing plants with regard to all their relevant legal issues.
- Providing key strategic advice in relation to company law such as company restructuring and transactions, and managing the corporate house-keeping.
- Advising in relation to M&A transactions.
- Managing litigation matters.
- Identifying and advising the business with regard to competition law and local regulatory issues.
- Providing legal advice on certain labour law matters.
- Providing and/or supervising internal training on relevant legal issues.
- Assisting in relation to international projects of the group´s International Legal Department, in contact with the international business and members of the group and with other legal counsels based in Switzerland.
The candidate will manage part of the Group’s Legal team based in Madrid, presently consisting of two Legal Counsels, one Junior Legal Counsel and one Paralegal. He/she will also manage external lawyers’ services in international legal matters. He/she will be reporting to and be in close contact with the Group Chief Legal & Compliance Officer based in Switzerland.
We are looking for a Spanish or an EU qualified lawyer with at least 10 years of experience acquired as an in-house counsel and/or in a top law firm. The candidate must have an international background or international experience. He/she will be a true business partner, which requires being proactive, assuming matter ownership and responsibility, and providing legal advice with assertiveness.
He/she will have excellent negotiation skills and legal knowledge of national and international commercial contracts, will have broad corporate law experience and will be able to identify risks and provide advice in general in all of the required legal areas listed above.
A business acumen is indispensable. The candidate must be able to solve legal matters of a wide range in a business context, to, provide creative yet sound advice to the business’s management, and understand the business activities´ strategy thoroughly to achieve its objectives. He/she will deal with third parties in negotiations, and will have sound experience in business projects involving various areas of law. Experience in innovative and international environments is an asset. Professional rigour and sense of ethics are essential.
Excellent communication and presentation skills at all levels is indispensable, as well as the adaptility to situational changes and contribute to the recent transformation of the group to enhance its competitive position and integrate its current internal organisation.
The candidate will have leadership skills to drive and support a team and will at the same time be an excellent team player integrated in the broader international legal group. Together with another Senior Corporate Counsel, the Head of Governance & Compliance and an Executive assistant, he/she will report to the Group Chief Legal & Compliance Officer, who is a member of the Group Executive Committee.
The candidate will have be fluent in English and Spanish, while having an good command at a professional level in other languages is very welcome. A willingness to travel internationally up to 25% of the working time is expected.
